These Terms of Service (“Terms”) govern access to and use of RepliaOS, including any related websites, applications, services, features, and documentation provided by the operator of RepliaOS (“we,” “us,” or “our”).
By accessing or using RepliaOS, you agree to these Terms. If you are using RepliaOS on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Use of the Software
RepliaOS is a software platform designed to help unions, associations, and organizations manage matters, workflows, people, meetings, documents, deadlines, notes, and related internal operations.
You may use the Software only in accordance with these Terms, applicable laws, and any written agreement between your organization and us.
2. Accounts and Organization Access
Users may be invited to access an organization workspace within RepliaOS. Account access may be controlled by organization administrators.
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
You agree not to share login credentials, bypass access controls, or access data belonging to another organization or user without authorization.
3. Customer Data
“Customer Data” means information, records, documents, notes, files, communications, user information, workflow data, and other content submitted to or stored within RepliaOS by users or organizations.
As between you and RepliaOS, your organization retains ownership of its Customer Data. We do not claim ownership of Customer Data.
You grant us a limited right to process, store, transmit, back up, and display Customer Data solely as necessary to provide, maintain, secure, and improve the Software.
4. Sensitive Information
RepliaOS may be used to store sensitive organizational, employment, labor, grievance, representation, disciplinary, or internal case information.
Organizations are responsible for determining what information is appropriate to store in the Software and for complying with applicable laws, contracts, recordkeeping obligations, confidentiality obligations, and internal policies.
RepliaOS is a software tool only. We do not provide legal advice, labor representation, human resources advice, or compliance determinations.
5. User Responsibilities
You agree not to use RepliaOS to:
- Violate any applicable law or regulation
- Upload unlawful, harmful, malicious, or infringing content
- Attempt to gain unauthorized access to any account, system, tenant, database, or network
- Interfere with platform security or availability
- Reverse engineer, scrape, overload, or abuse the Software
- Misrepresent your identity or authority
- Connect a Gmail account you are not authorized to use
- Use the Software to harass, threaten, or unlawfully discriminate against others
- Upload malware, exploit code, or harmful files
6. Organization Administration
Organization administrators are responsible for managing users, permissions, access levels, organization settings, internal workflows, data entry, record accuracy, and user conduct within their workspace.
We are not responsible for decisions made by organization administrators or for how an organization configures or uses the Software.
7. Subscriptions, Fees, and Payment
If paid subscriptions are offered, fees, billing periods, renewal terms, cancellation rules, and payment obligations will be described in the applicable order form, invoice, checkout page, or written agreement.
Unless otherwise stated in writing, fees are non-refundable except where required by law.
We may modify pricing or subscription terms with reasonable notice where required.
8. Service Availability
We aim to provide a reliable and secure service, but we do not guarantee uninterrupted availability, error-free operation, or permanent access to the Software.
The Software may be unavailable due to maintenance, updates, outages, security events, infrastructure failures, third-party service disruptions, or circumstances beyond our control.
Optional Gmail-related features may also be affected by Google outages, API limits, account restrictions, consent changes, or other third-party actions outside our control.
9. Backups and Data Loss
We may maintain backups or recovery processes, but you remain responsible for maintaining appropriate copies of critical records where required by your organization, law, contract, or internal policy.
We are not liable for loss of Customer Data except to the extent required by applicable law or a separate written agreement.
10. Third-Party Services
RepliaOS may rely on third-party infrastructure, hosting, email, storage, analytics, authentication, payment, or communications providers.
We are not responsible for third-party services except as expressly required by law or written agreement.
Some optional email-related functionality may depend on Gmail, Google APIs, and Google OAuth when enabled by the customer or user.
11. Optional Gmail Integrations
Gmail integrations are optional features and are not required to use RepliaOS generally.
If you connect a Gmail account through RepliaOS, you represent and warrant that:
- You are authorized to connect and use that Gmail account for the relevant organizational purpose
- Your use of the connected account complies with applicable law, internal policies, and contractual obligations
- You will comply with applicable Google terms, policies, and consent requirements
Some RepliaOS features may depend on continued access to Gmail, Google APIs, or Google OAuth authorization. We are not responsible for feature interruptions, data access limitations, account suspensions, API changes, quota restrictions, or service changes caused by Google or another third-party provider.
12. Intellectual Property
Except for Customer Data and third-party open source components, RepliaOS, including its source code, design, branding, workflows, database structures, user interface, business logic, documentation, and proprietary functionality, is owned by us or our licensors and is protected by intellectual property laws.
You may not copy, modify, redistribute, sublicense, reverse engineer, or create derivative works from proprietary portions of the Software except as expressly permitted in writing or by law.
13. Open Source Software
RepliaOS may include third-party open source software components. Those components are governed by their respective licenses.

14. Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding RepliaOS, you grant us permission to use that feedback without restriction or compensation, provided that we do not disclose confidential Customer Data in doing so.
15. Suspension or Termination
We may suspend or terminate access to the Software if we reasonably believe that:
- These Terms have been violated
- Use of the Software creates a security, legal, or operational risk
- Payment obligations are not satisfied
- Continued access may harm the platform, other users, or third parties
- We are required to do so by law
Organizations may request account closure or data export subject to applicable technical, legal, contractual, and retention limitations.
16. Disclaimers
The Software is provided on an “AS IS” and “AS AVAILABLE” basis unless otherwise stated in a separate written agreement.
To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.
17. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost goodwill, business interruption, or organizational disruption.
Our total liability for claims relating to the Software will not exceed the amount paid to us by the customer for the Software during the twelve months preceding the event giving rise to the claim, unless otherwise required by law or written agreement.
18. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last Updated” date.
Continued use of the Software after changes become effective constitutes acceptance of the updated Terms.
